1. Introduction
These Terms and Conditions govern access to and use of the website, online catalog, and services provided by TDS Synthesis, Gopalpur, Cuttack 753011, India. By accessing the site or placing an order, the user agrees to these Terms.

3. Products and Custom Manufacturing
Products may vary within reasonable commercial tolerances in color, size, stitching, hardware, and materials due to manufacturing processes and supplier variations. For custom orders, proofs are provided; written approval constitutes acceptance for production.
4. Quotes, Pricing, and Taxes
Quotes are valid for the stated period or, if unspecified, 14 days. Prices exclude applicable taxes, duties, freight, and handling unless expressly stated. The buyer is responsible for taxes and import duties.
5. Orders, Acceptance, and Cancellations
An order is binding when confirmed in writing by TDS Synthesis. Cancellations or changes after confirmation may incur costs already incurred. Custom or branded items are non‑cancelable and non‑returnable once production begins.
6. Payment Terms
Payment terms are specified in the invoice or sales order. Late payments may accrue interest per applicable law and may result in production or delivery holds. Advance payment or security may be required for large or custom orders.
7. Production Lead Times and Tolerances
Lead times are estimates and may change due to material availability, dependencies, or force majeure. Industry tolerances apply to dimensions, weight, color shades, fabric lots, and print matches unless a specific standard is agreed in writing.
8. Shipping, Delivery, and Risk of Loss
Shipping terms are as specified in the order. Title and risk of loss pass per agreed Incoterms or upon handover to the carrier. Inspect goods upon delivery and notify TDS Synthesis of shortages or visible damage within 48 hours and concealed damage within 7 days.
9. Quality and Warranty
TDS Synthesis warrants products will conform in all material respects to approved specifications at shipment and be free from defects in materials and workmanship under normal use for the period stated or, if unspecified, 6 months from delivery. Remedies are limited to repair, replacement, or refund at TDS Synthesis’ discretion. Normal wear, misuse, or unauthorized modifications are excluded.
10. Returns and Claims
No returns are accepted without prior written authorization and an RMA. Returned goods must be unused, in original packaging, and accompanied by proof of purchase. Custom products are not returnable unless defective.
11. Intellectual Property and Branding
Logos, trademarks, and artwork supplied by the buyer are used on the buyer’s representation of rights. The buyer agrees to indemnify TDS Synthesis against claims arising from provided IP. TDS Synthesis retains rights in its own trademarks, designs, and technical documentation.
12. Compliance and Use
Products must be used according to their intended purpose and care labels. Buyer is responsible for fitness for a particular purpose unless otherwise agreed in writing and acknowledged by TDS Synthesis.
13. Limitation of Liability
To the maximum extent permitted by law, TDS Synthesis is not liable for indirect or consequential damages. Aggregate liability is limited to the amount paid for the goods giving rise to the claim.
14. Force Majeure
TDS Synthesis is not liable for delays or failures due to events beyond reasonable control, including natural disasters, labor disputes, shortages, transport disruptions, or regulatory actions.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Cuttack, Odisha, unless mandatory law states otherwise.
16. Changes to Terms
TDS Synthesis may update these Terms from time to time. Continued use after changes constitutes acceptance.
